Terms of Service

These Terms of Service ("Terms") govern your use of Jhotpot Chat (jhotpot.chat), operated by Jhotpot Chat ("we", "us"). By creating an account, you agree to these Terms.

1. The service

Jhotpot Chat is a subscription platform that lets an online seller ("Subscriber") connect their Facebook Page, WhatsApp Business number, website chat widget, and WooCommerce/Shopify store, so that an AI agent can reply to the Subscriber's customers, quote catalog prices, check order status, take Cash-on-Delivery or paid orders in chat, and escalate to a human agent.

2. Accounts and eligibility

• You must be at least 18 years old and have authority to bind the business you're signing up on behalf of.
• You're responsible for keeping your login credentials secure and for all activity under your account.
• One workspace can have multiple team members (Owner, Admin, Agent roles) invited by the Owner or an Admin.

3. Plans, trial, and AI-reply metering

• New workspaces get a 14-day free trial with up to 300 AI replies, no card required to start.
• Paid plans (Starter / Growth / Business) are metered by the number of AI replies generated per month — see current limits and pricing at [PRICING PAGE URL]. Once your plan's limit is reached, AI replies pause until the next billing cycle or you upgrade; your inbox and human-agent replies keep working.
• Usage counters reset at the start of each billing cycle.

4. Payment, renewal, and refunds

• Cards and Stripe/SSLCommerz subscriptions renew automatically each billing cycle until cancelled.
• bKash does not support automatic recurring billing on our current setup — bKash subscribers renew manually each month and will receive reminder emails before their renewal date.
• Fees are non-refundable except where required by law, or at our discretion for service issues attributable to us.
• Prices are listed in BDT (৳) and may change with 30 days' notice to active subscribers.

5. Grace period and suspension for non-payment

• If a payment fails or a manual renewal is missed, you get a 7-day grace period during which the service keeps working normally.
• After the grace period, AI replies are disabled but your inbox remains accessible and data is retained.
• Workspace data is retained for 90 days after suspension; after that it may be permanently deleted per our Privacy Policy.

6. Acceptable use

• You will not use Jhotpot Chat to send unsolicited bulk messages ("spam") or content violating Meta's Platform Terms, Commerce Policies, or WhatsApp Business Messaging Policy.
• You are responsible for complying with the 24-hour customer service window and message-tagging rules on Facebook Messenger, and WhatsApp's template message rules — Jhotpot Chat surfaces these states in the dashboard but compliance with the underlying platform's policy is your responsibility as the business sending the messages.
• You will not use the service to send content that is illegal, deceptive, or that misrepresents pricing, delivery, or product availability to your customers.
• We may suspend or terminate accounts that violate this section, Meta's policies, or applicable law, with notice where reasonably possible.

7. AI-generated content

Replies sent by the AI agent are generated automatically based on your catalog, instructions, and conversation context. You are responsible for reviewing your AI settings (business tone, custom instructions, FAQ knowledge base) and for the accuracy of the catalog data you connect. The AI is configured not to promise discounts or refunds on your behalf and to escalate conversations it cannot handle, but you remain responsible for outcomes with your customers, including for errors in AI replies.

8. Data processing / your responsibilities as controller

As explained in our Privacy Policy, we process your customers' data as a processor, acting on your instructions as the controller. You are responsible for:

• Having a lawful basis to collect and process your customers' data (e.g. their consent to be messaged, or your existing customer relationship).
• Providing your own customers with any notices required by law about how their data is used.
• Responding to your customers' data requests where they concern your own use of their data outside Jhotpot Chat.

9. Uptime and liability

• We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be announced where practical.
• To the maximum extent permitted by law, Jhotpot Chat's total liability for any claim arising from these Terms is limited to the amount you paid us in the 3 months preceding the claim.
• We are not liable for indirect, incidental, or consequential damages, including lost sales or lost data, except where such exclusion is not permitted by law.
• Nothing in these Terms limits liability for gross negligence, willful misconduct, or fraud.

10. Termination

• You may cancel your subscription and delete your workspace at any time from Settings.
• We may terminate accounts for material breach of these Terms, non-payment beyond the grace period, or as required by Meta's platform policies.
• On termination, you may export your data (see Data Deletion Instructions) before it is permanently deleted per our retention schedule.

11. Governing law and disputes

These Terms are governed by the laws of Bangladesh. Any disputes will be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh, unless otherwise required by applicable consumer protection law.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email and/or dashboard notice at least 15 days before taking effect for existing subscribers.

এই শর্তাবলী Jhotpot Chat (jhotpot.chat) ব্যবহারের ক্ষেত্রে প্রযোজ্য, যা পরিচালনা করে Jhotpot Chat ("আমরা")। অ্যাকাউন্ট খুলে আপনি এই শর্তাবলীতে সম্মত হচ্ছেন।

১. সার্ভিস

Jhotpot Chat একটি সাবস্ক্রিপশন প্ল্যাটফর্ম, যা একজন অনলাইন সেলারকে ("সাবস্ক্রাইবার") তাদের Facebook Page, WhatsApp Business নম্বর, ওয়েবসাইট চ্যাট উইজেট, এবং WooCommerce/Shopify স্টোর কানেক্ট করতে দেয়, যাতে একটি AI এজেন্ট কাস্টমারদের রিপ্লাই দিতে পারে, ক্যাটালগ থেকে দাম বলতে পারে, অর্ডার স্ট্যাটাস চেক করতে পারে, COD বা পেইড অর্ডার নিতে পারে, এবং প্রয়োজনে মানুষ এজেন্টের কাছে হ্যান্ডওভার করতে পারে।

২. অ্যাকাউন্ট ও যোগ্যতা

• আপনার বয়স কমপক্ষে ১৮ বছর হতে হবে এবং যে ব্যবসার পক্ষে সাইনআপ করছেন তার পক্ষে সিদ্ধান্ত নেওয়ার অধিকার থাকতে হবে।
• লগইন তথ্য সুরক্ষিত রাখা এবং অ্যাকাউন্টের সব অ্যাক্টিভিটির জন্য আপনি দায়ী।
• একটি ওয়ার্কস্পেসে একাধিক টিম মেম্বার থাকতে পারে (Owner, Admin, Agent রোল)।

৩. প্ল্যান, ট্রায়াল, এবং AI-রিপ্লাই মিটারিং

• নতুন ওয়ার্কস্পেস ১৪ দিনের ফ্রি ট্রায়াল পায়, ৩০০টি পর্যন্ত AI রিপ্লাই সহ, শুরুতে কার্ড লাগে না।
• পেইড প্ল্যান (Starter / Growth / Business) মাসে কতগুলো AI রিপ্লাই জেনারেট হয়েছে তার উপর ভিত্তি করে — বর্তমান লিমিট ও দাম দেখুন [PRICING PAGE URL]-এ। লিমিট শেষ হলে AI রিপ্লাই পরবর্তী বিলিং সাইকেল পর্যন্ত বন্ধ থাকে; আপনার ইনবক্স ও মানুষ এজেন্টের রিপ্লাই চালু থাকে।

৪. পেমেন্ট, রিনিউয়াল, এবং রিফান্ড

• কার্ড এবং Stripe/SSLCommerz সাবস্ক্রিপশন বাতিল না করা পর্যন্ত প্রতি বিলিং সাইকেলে অটোমেটিক রিনিউ হয়।
• bKash-এ বর্তমানে অটোমেটিক রিকারিং বিলিং নেই — bKash সাবস্ক্রাইবারদের প্রতি মাসে ম্যানুয়ালি রিনিউ করতে হয়, রিনিউয়ালের আগে রিমাইন্ডার ইমেইল পাঠানো হবে।
• ফি সাধারণত নন-রিফান্ডেবল, আইন অনুযায়ী প্রয়োজন হলে অথবা আমাদের কারণে সার্ভিস সমস্যা হলে ছাড়া।

৫. গ্রেস পিরিয়ড ও সাসপেনশন

• পেমেন্ট ফেইল হলে বা ম্যানুয়াল রিনিউয়াল মিস হলে, আপনি ৭ দিনের গ্রেস পিরিয়ড পাবেন — এই সময়ে সার্ভিস স্বাভাবিকভাবে চলবে।
• গ্রেস পিরিয়ডের পর AI রিপ্লাই বন্ধ হয়ে যাবে, কিন্তু ইনবক্স অ্যাক্সেসযোগ্য থাকবে ও ডেটা সংরক্ষিত থাকবে।
• সাসপেনশনের ৯০ দিন পর ওয়ার্কস্পেস ডেটা স্থায়ীভাবে মুছে ফেলা হতে পারে।

৬. গ্রহণযোগ্য ব্যবহার

• Jhotpot Chat দিয়ে অযাচিত বাল্ক মেসেজ ("স্প্যাম") পাঠানো বা Meta-এর Platform Terms, Commerce Policies, বা WhatsApp Business Messaging Policy লঙ্ঘনকারী কন্টেন্ট পাঠানো যাবে না।
• Facebook Messenger-এর ২৪-ঘণ্টা কাস্টমার সার্ভিস উইন্ডো ও মেসেজ-ট্যাগিং নিয়ম, এবং WhatsApp-এর টেমপ্লেট মেসেজ নিয়ম মেনে চলার দায়িত্ব আপনার — Jhotpot Chat ড্যাশবোর্ডে এই স্ট্যাটাসগুলো দেখায়, কিন্তু আন্ডারলাইং প্ল্যাটফর্ম পলিসি মেনে চলা মেসেজ পাঠানো ব্যবসা হিসেবে আপনার দায়িত্ব।
• এই সেকশন, Meta-এর পলিসি, বা প্রযোজ্য আইন লঙ্ঘনকারী অ্যাকাউন্ট আমরা সাসপেন্ড বা বন্ধ করে দিতে পারি।

৭. AI-জেনারেটেড কন্টেন্ট

AI এজেন্টের রিপ্লাই আপনার ক্যাটালগ, ইনস্ট্রাকশন, এবং কথোপকথনের প্রেক্ষাপটের ভিত্তিতে অটোমেটিক্যালি তৈরি হয়। AI আপনার পক্ষে ডিসকাউন্ট বা রিফান্ডের প্রতিশ্রুতি দেয় না এবং যা সামলাতে পারে না তা এসকেলেট করে — কিন্তু কাস্টমারদের সাথে ফলাফলের জন্য (AI রিপ্লাইয়ে ভুল থাকলেও) দায়িত্ব আপনার থাকে।

৮. ডেটা প্রসেসিং — কন্ট্রোলার হিসেবে আপনার দায়িত্ব

আমাদের প্রাইভেসি পলিসিতে ব্যাখ্যা করা হয়েছে, আমরা আপনার কাস্টমারদের ডেটা প্রসেসর হিসেবে প্রসেস করি, কন্ট্রোলার হিসেবে আপনার নির্দেশে। আপনার দায়িত্ব:

• কাস্টমারদের ডেটা সংগ্রহ ও প্রসেস করার আইনি ভিত্তি থাকা (যেমন মেসেজ পাঠানোর সম্মতি, বা বিদ্যমান কাস্টমার সম্পর্ক)।
• আইন অনুযায়ী প্রয়োজনীয় নোটিশ আপনার নিজের কাস্টমারদের দেওয়া।

৯. আপটাইম ও দায়বদ্ধতা

আমরা উচ্চ availability লক্ষ্য রাখি কিন্তু নিরবচ্ছিন্ন সার্ভিসের গ্যারান্টি দিই না। আইন অনুযায়ী সর্বোচ্চ সীমা পর্যন্ত, এই শর্তাবলী থেকে উদ্ভূত যেকোনো দাবির ক্ষেত্রে Jhotpot Chat-এর মোট দায়বদ্ধতা দাবির আগের ৩ মাসে আপনার পরিশোধিত পরিমাণে সীমাবদ্ধ।

১০. সমাপ্তি

আপনি যেকোনো সময় Settings থেকে সাবস্ক্রিপশন বাতিল ও ওয়ার্কস্পেস ডিলিট করতে পারবেন। উল্লেখযোগ্য শর্ত ভঙ্গ বা নন-পেমেন্টের ক্ষেত্রে আমরা অ্যাকাউন্ট বন্ধ করে দিতে পারি।

১১. প্রযোজ্য আইন ও বিরোধ নিষ্পত্তি

এই শর্তাবলী বাংলাদেশের আইন দ্বারা পরিচালিত। যেকোনো বিরোধ Dhaka-এর আদালতের এখতিয়ারভুক্ত হবে, প্রযোজ্য কনজিউমার প্রোটেকশন আইন ছাড়া।

১২. শর্তাবলীর পরিবর্তন

আমরা মাঝে মাঝে এই শর্তাবলী আপডেট করতে পারি। উল্লেখযোগ্য পরিবর্তনের ক্ষেত্রে কার্যকর হওয়ার কমপক্ষে ১৫ দিন আগে বিদ্যমান সাবস্ক্রাইবারদের জানানো হবে।
